Please read these Terms of Service ("Terms") carefully before using PhoneCalls.pro (the "Service") operated by PhoneCalls.pro ("us," "we," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.

1. Acceptance of Terms

By creating an account or using our Service, you confirm that you are at least 18 years of age, have the legal authority to enter into these Terms, and agree to comply with all applicable laws and regulations.

2. Description of Service

PhoneCalls.pro provides AI-powered voice agent technology that allows businesses to automate phone call handling, appointment scheduling, lead capture, and customer communication. The Service includes access to our web portal, AI voice assistants, call management tools, and related features.

3. Subscription and Billing

The Service is offered on a subscription basis. By subscribing, you authorize us to charge your payment method on a recurring monthly basis. Subscription fees are billed in advance at the start of each billing cycle.

  • Plan Changes: You may upgrade or downgrade your plan at any time. Changes take effect immediately. Stripe will automatically prorate charges and credits for the remainder of the current billing period.
  • Overages: If your usage exceeds the limits of your plan, overage fees of $0.15 per minute will apply and be billed at the end of your billing cycle. You will be notified as you approach your limit.
  • Cancellations: You may cancel your subscription at any time through the billing portal. Cancellations take effect at the end of the current billing period. No partial refunds are issued for unused time within a billing cycle.
  • Refunds: All charges are final and non-refundable except where required by applicable law or at our sole discretion.

4. Acceptable Use

You agree not to use the Service to:

  • Make unsolicited calls or engage in robocalling in violation of applicable law
  • Harass, threaten, or defraud any person
  • Violate the Telephone Consumer Protection Act (TCPA) or any other telecommunications law
  • Transmit any unlawful, harmful, or objectionable content
  • Attempt to gain unauthorized access to our systems or networks
  • Resell or sublicense the Service without our written consent

5. Telephone Consumer Protection Act (TCPA) Compliance

You are solely responsible for ensuring that your use of the Service complies with the TCPA and all applicable federal, state, and local laws governing telephone communications. You must obtain all required consents from call recipients before using our Service to contact them. PhoneCalls.pro is not liable for any violations of the TCPA or similar laws arising from your use of the Service.

6. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of PhoneCalls.pro. You retain ownership of any content you provide, including business information, scripts, and call recordings. By providing content, you grant us a limited license to use it solely for the purpose of delivering the Service.

7. Call Recordings and Data

Our Service may record and transcribe phone calls handled by your AI voice agent. You are responsible for complying with all applicable laws regarding call recording disclosure and consent in your jurisdiction. We store call data securely as described in our Privacy Policy.

8. Third-Party Services

The Service integrates with third-party providers including but not limited to Stripe (payment processing), Vapi (voice AI infrastructure), Telnyx (telephony), and Deepgram (transcription). Your use of these integrations is subject to the respective providers' terms of service. We are not responsible for the availability or performance of third-party services.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PHONECALLS.PRO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless PhoneCalls.pro and its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

We reserve the right to suspend or terminate your account at any time if we believe you have violated these Terms. Upon termination, your right to use the Service will immediately cease. We may retain your data for up to 90 days following termination before deletion, unless otherwise required by law.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Austin, Texas.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or by posting a notice in the Service. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
